TERMS OF SERVICE

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Port MD+ services, including the Port MD+ website, mobile application, patient portal, and all related services (collectively, the "Service"), provided by Port MD+ ("we," "us," or "our").

By accessing or using the Service, creating an account, or submitting a medical intake form, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Services

Port MD+ is a physician-prescribed emergency medication kit service. The Service includes:

  • Clinical intake and health history review by a licensed physician
  • Personalized prescription of a travel and emergency medication kit
  • Fulfillment and shipment of prescribed medications
  • In-app clinical guidance for appropriate use of prescribed medications
  • Annual prescription renewal consultations
  • Optional telemedicine consultations for kit-related clinical questions

Port MD+ is a medical practice, not a pharmacy benefit or insurance product. The Service constitutes the delivery of healthcare services by a licensed physician.

3. Not a Substitute for Emergency Care

Port MD+ is not a substitute for emergency medical care. For life-threatening emergencies, call 911 or your local emergency number immediately. The medications and clinical guidance provided through Port MD+ are intended to bridge the gap between onset of symptoms and access to definitive medical care — not to replace that care.

The in-app triage tool provides clinical guidance based on deterministic logic. It does not provide a diagnosis and does not replace the judgment of an on-site physician. If the app advises you to seek care, do so promptly.

4. Eligibility

To use Port MD+, you must:

  • Be at least 18 years of age
  • Be a resident of a U.S. state where the prescribing physician holds a valid medical license
  • Provide accurate and complete health information during intake
  • Have a valid U.S. shipping address for kit delivery

Port MD+ is currently available to residents of Texas. Availability will expand as the prescribing physician obtains licensure in additional states.

5. Account Registration and Security

You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration, and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access to your account.

You may not share your account with any other person. Your Port MD+ account and prescription are personal to you and may not be transferred.

6. Clinical Intake and Physician Review

The Port MD+ service begins with a clinical intake form. You agree to provide complete and accurate information about your health history, current medications, allergies, and medical conditions. Providing false or incomplete information may result in prescriptions that are clinically inappropriate for you and could cause harm.

Every intake is personally reviewed by the Port MD+ prescribing physician. The physician may approve your application, request additional information, or decline to prescribe if the kit is not clinically appropriate for you. Physician review is typically completed within 24 hours of submission on business days.

Approval is not guaranteed. The physician's clinical judgment regarding whether to prescribe is final.

7. Prescription and Kit Fulfillment

If approved, you will receive a personalized prescription and a kit containing the medications specified in your prescription. Your kit is customized based on your health profile — medications that are contraindicated for you will be substituted or excluded before shipment.

Prescribed medications are for your personal use only. You may not share, transfer, sell, or otherwise distribute your prescribed medications.

Kit contents are determined by the prescribing physician based on clinical judgment and the current formulary. Formulary contents are subject to change. If a medication is unavailable or clinically inappropriate, a therapeutic equivalent may be substituted.

8. Payments, Refunds, and Renewals

The Kit fee covers the physician consultation, prescription, and first-year kit. Renewal fees cover annual prescription review. Medication refills, add-ons, and telemedicine consultations are billed separately at cost.

Refund policy: If the physician declines to prescribe after reviewing your intake, you will receive a full refund of the Kit fee. Once a prescription has been written and a kit has shipped, no refunds are available for the Kit fee. Refill and add-on fees are non-refundable once an order is placed.

Annual renewal is required to maintain an active prescription. If you do not renew, your prescription will expire and you will not be able to request refills or telemedicine consultations under the expired prescription.

HSA and FSA payment cards are accepted. Prescription medications are generally eligible under IRS Section 213(d). Consult your plan administrator to confirm eligibility.

9. Telemedicine Consultations

Port MD+ offers optional telemedicine consultations with the prescribing physician. Consultations are available to active patients (those with a current, valid prescription).

Telemedicine consultations are subject to applicable state law. Consultations conducted via the Port MD+ platform constitute a physician-patient encounter and are subject to the same standard of care and confidentiality obligations as in-person visits.

Consultations are for questions related to your Port MD+ kit and the management of conditions the kit is designed to address. They are not a replacement for a primary care relationship.

10. Appropriate Use of Your Kit

Your Port MD+ kit is a tool for physician-prescribed emergency medical management. You agree to:

  • Use medications only as directed by your prescribing physician and the in-app guidance
  • Read all medication information provided with your kit before use
  • Consult the in-app triage tool before initiating any medication in your kit
  • Seek definitive medical care as directed by the app or your physician
  • Store medications properly and discard expired medications safely
  • Not use kit medications for purposes other than those prescribed

Certain medications in your kit are designated "physician-only" and should only be used under active physician guidance. The in-app triage tool will indicate when physician guidance is required before use.

11. Intellectual Property

All content, software, design, clinical logic, and materials comprising the Port MD+ Service are owned by or licensed to Port MD+ and are protected by copyright, trademark, and other intellectual property laws.

You may use the Service for your personal, non-commercial medical care. You may not copy, reproduce, distribute, modify, create derivative works from, or reverse-engineer any part of the Service.

12. Privacy and Health Information

Your health information is handled in accordance with our Privacy Policy and applicable law, including the Health Insurance Portability and Accountability Act (HIPAA). By using the Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

Your health information is never sold. It is used solely to provide your care, improve clinical accuracy, and fulfill legal obligations.

13. Disclaimers

The Service is provided "as is." To the maximum extent permitted by applicable law, Port MD+ disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Port MD+ does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Clinical guidance provided through the app is based on general clinical logic and your reported health history — it does not constitute a diagnosis and may not account for every individual circumstance.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Port MD+ and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if advised of the possibility of such damages.

Port MD+'s total liability to you for any claim arising from or relating to the Service will not exceed the amount you paid for the Service in the 12 months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by law.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service will be resolved in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.

Before filing any legal action, you agree to contact us at [email protected] and make a good-faith effort to resolve the dispute informally within 30 days.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice in the app at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
